The CIM Brand Book Terms of Use

1. Terms of Use, Acceptance and Modifications 

By accepting these terms and conditions set forth below (“Terms of Use”) you signify that you have read, understood, and agreed without limitation or qualification, to be bound by the Terms of Use. Therefore, before accessing or using The CIM Brand Book website and material (“The CIM Brand Book”), you should carefully read these Terms of Use. If you do not wish to be bound by our Terms of Use, you may not access or use The CIM Brand Book. 

The Canadian Institute of Mining, Metallurgy and Petroleum (“CIM”) may modify the terms and conditions herein at its sole discretion, in whole or in part, at any time, and such modification shall be effective immediately upon posting of the modified terms in The CIM Brand Book. In the event we make any material changes to the Terms of Use, a notice of the changes will be posted in The CIM Brand Book, and it is your responsibility to review such changes. Your continued use of The CIM Brand Book after any such material changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by the new Terms of Use, do not use or access, or continue to use or access The CIM Brand Book.

2. Intellectual Property Rights 

The contents contained in The CIM Brand Book, including, but not limited to text, graphics, and icons, are protected by international copyright law according to their respective owners. You may access and download the materials for your use in learning about the CIM in a brand conform way. No other permission is granted to you, or anyone acting on your behalf, to copy, reproduce, republish, or distribute the materials in The CIM Brand Book, without prior written approval from CIM. 

The CIM Brand Book contains the Canadian Institute of Mining, Metallurgy and Petroleum name and logos, and any other word, phrase, image, or other designation that identify the source of origin of any of CIM’s branding or products. Our Brand Assets are the exclusive property of CIM, and any goodwill that results from your use of our Brand Assets is solely for our benefit.

3. User's Obligations  

You acknowledge that The CIM Brand Book provides information to be used for the benefit of CIM. You agree to comply with The CIM Brand Book Rules and Guidelines on how to use the material in The CIM Brand Book as set forth in The CIM Brand Book. 

You agree not to: 

  • Use The CIM Brand Book for any other purposes especially for commercial, political, religious, or other non-CIM related purposes, including but not limited to selling, reselling, distributing, transferring, sharing or other commercial activity. 
  • Change, modify, distort, copy or imitate our Brand Assets in any way, including changing the colour, rotating and/or stretching our Brand Assets. In other words, our Brand Assets must be kept in their original forms. 
  • Use our Brand Assets in any manner that could mislead the public regarding sponsorship, endorsement or association with any other company, products or services. 
  • Give our Brand Assets undue prominence compared to your name and logo. 
  • Display our Brand Assets next to content from a similar service provider or in any form of competitive marketing, without our express consent. 
  • Impersonate any person or entity, or falsely state or otherwise misrepresent yourself, or your affiliation with any person while using The CIM Brand Book. 
  • Use The CIM Brand Book in any unlawful manner or in any other manner that could damage, disable, overburden, or impair The CIM Brand Book. 
  • Defame, abuse, harass, threaten, intimidate another, or otherwise violate the legal rights of others; and make publicly available any privileged information of any third party. 

4. Termination 

CIM may prohibit you from using or accessing The CIM Brand Book for any breach or violation of these Terms of Use, with or without notice. 

5. Indemnification 

You agree to indemnify, defend and hold harmless CIM and their officers, directors, employees, contractors, agents, licensors, service providers, subcontractors and suppliers from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorney’s fees and court costs, arising or resulting from your use of The CIM Brand Book and any violation of these Terms of Use. 

6. Disclaimer 

ALL MATERIALS AND INFORMATION ON THE CIM BRAND BOOK ARE FOR GENERAL INFORMATION PURPOSES ONLY. CIM MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, ABOUT THE COMPLETENESS, ACCURACY, RELIABILITY, SUITABILITY OR AVAILABILITY OF THE MATERIALS OR ANY INFORMATION ON THE CIM BRAND BOOK. YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE CIM BRAND BOOK IS ENTIRELY AT YOUR OWN RISK. WE ACCEPT NO RESPONSIBILITY FOR ANY LOSSES OR DAMAGES INCLUDING, BUT NOT LIMITED TO, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL AND PUNITIVE DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION OR OTHER DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE CIM BRAND BOOK. 

This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of records, whether for breach of contract, tortuous behavior, negligence, or under any other cause of action. 

7. Links

The CIM Brand Book may contain links to other websites provided by a third party. CIM has no control over the content of those sites and CIM expressly refuses any responsibility for such third-party websites. 

8. Severability 

In case any provision of the Terms of Use is, or shall become, or shall be declared illegal, invalid or unenforceable in any jurisdiction for any reason (including the provisions of any legislation or decision of any competent authority) such part shall be severed from the Terms of Use in the jurisdiction in question and such contravention, illegality, invalidity or unenforceability shall not in any way whatsoever prejudice or affect the remaining provision of the Terms of Use. 

9. Governing Law 

The Terms of Use of this website shall be governed by and construed in accordance with the laws of Canada, excluding its conflict of laws provisions. The courts of Canada shall have exclusive authority as far as legally permitted. 

Except for the right to use our Brand Assets expressly granted herein, no rights of any kind are granted hereunder, by implication or otherwise.
